IP Developed by Third Parties

Your business will generally own any IP developed by employees.

However, this is not the case for any other third parties that develop IP for your business. That includes any contractors or service providers.

The types of IP small businesses commonly engage third parties to supply includes logo design, packaging design, website design and content, bespoke software, photographs, videos, marketing materials or other documentation.

Simply paying for this IP does not mean you own the rights in it. You may have the right to use it but no right to prevent the supplier from also giving someone else the right to use it. If you want exclusivity, you need to make sure there is documentation in place stating that you own the IP.
