BrokerEngine is an advanced workflow and pipeline management tool used by brokers across the Australian mortgage industry, whose technology provides an efficient and compelling customer experience.

Rouse Lawyers has acted for BrokerEngine since it was founded in 2016 by Craig Vaughan and William Swayne.

Australian Finance Group Ltd (AFG) acquired a 70 percent stake in BrokerEngine, with an option to increase its stake to 100 percent over the next two years subject to performance targets. The deal will see AFG gain access to BrokerEngine’s workflow management platform, with the new system set to integrate into the aggregator’s existing setup.

William Swayne, director and shareholder of BrokerEngine, was quoted as saying “this transaction will accelerate the BrokerEngine development timeline and bring new offerings to the mortgage broking industry”.

Rouse Lawyers represented BrokerEngine throughout the entire transaction, including negotiation of the share purchase agreement, shareholders agreement, the option agreement for AFG to increase its stake in BrokerEngine, and both founders’ employment agreements.

Will added, “Rouse Lawyers added value to the deal while keeping the flow of information moving toward a successful conclusion.”

We were pleased to receive the following testimonial in this transaction:

“We engaged with a potential buyer for our SaaS business in mid-2021 and were in need of legal representation throughout the transaction.   Rouse Lawyers had acted for our business since incorporation, so they were the natural choice to assist.   Rouse Lawyers have significant experience in mid-market sell-side M&A, and we felt very comfortable in their hands.   Peter Rouse led the transaction from the Rouse end and provided expert, timely and commercially savvy assistance throughout the transaction.   As a result, we were able to successfully conclude the sale.   If you are looking for an experienced legal team who know what they’re doing, I highly recommend you have a chat with Rouse Lawyers.”
